Terms of Service

1. Who we are

Neufolio ("Neufolio", "we", "us") operates a marketplace that connects neighbors so they can offer and book local skills and services, buy and sell items, and organize meetups. These Terms of Service ("Terms") govern your access to and use of our websites, apps, and services (together, the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the activity that happens under your account and for keeping your login credentials secure. Provide accurate information and keep it up to date.

3. Neufolio is a venue, not a party to your transactions

Neufolio provides a platform where members deal directly with one another. We are not the seller, buyer, employer, employee, or organizer in any listing, booking, sale, or meetup. We do not guarantee the quality, safety, legality, or accuracy of any listing or of any member's conduct.

You are solely responsible for your interactions with other members, for evaluating who you transact with, and for complying with the laws that apply to what you offer or buy, including any licenses, taxes, and permits.

4. Payments, fees, and payouts

Payments are processed by Stripe. When you pay through the Service, your funds may be held until the transaction is marked complete, then released to the seller or provider, less our platform fee. By transacting, you also agree to the Stripe Connected Account Agreement and Stripe's terms.

Sellers and providers must connect a valid payout account and provide the identity and tax information that Stripe requires. We may change our fees on a going-forward basis by posting updated pricing. You are responsible for any taxes on your earnings.

5. Bookings, cancellations, and refunds

A booking or order is a direct agreement between the members involved. Funds for a confirmed transaction are held and released when the work, item, or meetup is completed. If a transaction is cancelled before completion, the held funds are refunded to the buyer. If a payout or transaction is disputed, we may pause the related funds while the dispute is reviewed.

6. Acceptable use

You agree not to use the Service to: post false, misleading, or unlawful listings; sell prohibited, stolen, counterfeit, or unsafe goods or services; harass, threaten, or harm other members; circumvent our fees or take transactions off-platform to avoid protections; scrape, reverse engineer, or disrupt the Service; or infringe anyone's intellectual property or privacy rights.

We may remove content, limit features, or suspend or terminate accounts that violate these Terms or that we reasonably believe create risk for the community.

7. Your content

You keep ownership of the content you post, such as listing text, photos, and messages. You grant Neufolio a non-exclusive, worldwide, royalty-free license to host, display, and use that content for the purpose of operating and promoting the Service. You are responsible for having the rights to everything you post.

8. Reviews and ratings

Reviews must reflect a genuine transaction and your honest experience. Do not post reviews in exchange for payment or to manipulate ratings. We may remove reviews that violate these Terms.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, secure, or error free, or that any member or listing will meet your expectations.

10. Limitation of liability

To the fullest extent permitted by law, Neufolio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the fees you paid to Neufolio in the twelve months before the claim or one hundred US dollars.

11. Indemnification

You agree to indemnify and hold Neufolio harmless from any claims, losses, and expenses, including reasonable legal fees, arising from your use of the Service, your content, your transactions with other members, or your violation of these Terms or any law.

12. Changes and termination

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use after changes take effect means you accept the updated Terms. You may stop using the Service and close your account at any time, and we may suspend or end your access as described above.
